Terms and Conditions

These terms govern the use of keycodedigital.com and the hiring of Keycode’s services. When you hire a service, the signed proposal or Statement of Work (SOW) also applies; if they differ, the signed document prevails.

1. Who we are

  • Clients with a company in Mexico: services are provided by Keycode Agencia Digital S.C., RFC KAD211015AK0, Planetas 280, Colonia Contry, 64860 Monterrey, Nuevo León, Mexico.
  • Clients with a company in the United States: services are provided by Keycode Digital Agency LLC, 6900 Dallas Parkway, 3rd Floor, Plano, TX 75024, United States.

2. Services

We provide SEO, AI Search (LLMO), content, web design and development, and digital marketing services. The scope, deliverables, timeline and price of each project are defined in its proposal or SOW. All work is done remotely.

3. Project start

To start, we need the SOW signed by both parties, the non-disclosure agreement (NDA) when applicable, and the first month paid in advance. The project starts about one week after these requirements are met.

4. Payments and invoicing

  • Services are paid monthly in advance, within the first five (5) days of each month.
  • Prices are expressed in the currency stated in the proposal, plus applicable taxes.
  • If a payment is not made within one month of the billing date, a 2% monthly interest applies to the outstanding balance.
  • Invoices are issued within the first five (5) days of each month.

5. Term, commitment and cancellation

  • We recommend a minimum of 12 months: that’s how long SEO takes to show solid results.
  • There is no mandatory term: you can cancel at any time with 30 days’ written notice. You pay for services provided up to the termination date and a one-time termination fee equal to one (1) month of service, which covers the audit, planning and resources allocated at the start.
  • If you choose an annual contract (12-month commitment), you get a 5% discount on the monthly fee, as stated in your proposal.
  • Either party may terminate the contract for a serious breach by the other (for example, non-payment or a breach of confidentiality) with 30 days’ written notice.
  • If we don’t hear from you for 30 consecutive days, the project may be cancelled without a refund.
  • On termination, we hand over all documentation and access related to your website.

6. Refunds

Payments for SEO, marketing, branding and licenses are non-refundable once the project has started. If you have overpaid when the contract ends, we refund the difference within 30 days.

7. Performance guarantee

Within 12 months, we commit to two goals: capturing at least 25% of the traffic potential of the keywords we agree on with you, and improving their average position on Google. If we don’t reach them, you get one free month of service to find the remaining opportunities and speed up results.

  1. Agreed keywords. After our keyword research, we agree in writing on the list of keywords to be measured. Only those keywords count toward the guarantee.
  2. A 12-month time frame. It starts on the date we agree on the keywords.
  3. How we measure. Traffic potential and captured traffic with Semrush. Average position with Google Search Console.
  4. What you get if we miss. One free month of service, on top of your plan, to find the remaining opportunities and speed up results. It’s one month only, even if neither goal is met. No refunds.
  5. What we need from you. Implement the Keycode SEO 360° + LLMO methodology and our recommendations, follow our guidance, and keep your plan active for the full 12 months. If you cancel earlier, the guarantee no longer applies.
  6. Plans included. Applies to all our SEO plans.
  7. What we don’t guarantee. No one can guarantee the #1 position on Google: its algorithms aren’t public and change thousands of times a year.

8. Your responsibilities

To keep the project moving, we need access to your tools (website, Google Analytics, Search Console, Semrush or others), information about your products and services, and timely approval and implementation of the agreed improvements. Delays on these items push back the project dates.

9. Intellectual property

Once 100% of the payment is made, we assign to you the economic rights to the project deliverables: strategy, audits, keyword selection, copy, code, design and reports. Keycode keeps its moral rights and its methodology, tools and know-how. Materials are delivered within 30 days after the contract ends.

10. Confidentiality

We treat the information you share with us as confidential and don’t disclose it to third parties without your authorization. We can sign a non-disclosure agreement (NDA) for each project. The confidentiality obligation lasts one (1) year after the contract ends, unless the signed NDA states otherwise.

11. Limitation of liability

Keycode is not liable for how the client uses the deliverables, for changes to search engine or third-party platform algorithms, for outages of external services, or for the client’s business decisions.

12. Privacy

The use of your personal data is governed by our Privacy Policy.

13. Governing law and jurisdiction

  • Clients with a company in Mexico: these terms are governed by the laws of the United Mexican States, and the parties submit to the competent courts of Monterrey, Nuevo León.
  • Clients with a company in the United States: these terms are governed by the laws of the State of Texas, and the parties submit to the competent courts of Collin County, Texas.

14. Changes to these terms

We may update these terms. The current version is the one published on this page; changes do not affect contracts already signed.
